The rules for using PROSENTRIQ and the prosentriq.com/api.prosentriq.com services.
These Terms of Service ("Terms") are an agreement between you ("Customer", "you") and ORTAL TECH ("PROSENTRIQ", "we", "us", "our") governing your access to and use of the PROSENTRIQ software, the PROSENTRIQ website at prosentriq.com, and the PROSENTRIQ Detection API at api.prosentriq.com (together, the "Service"). By creating an account, installing the PROSENTRIQ agent, or otherwise using the Service, you agree to these Terms. If you're using the Service on behalf of an organization, you're confirming you have authority to bind that organization, and "you" refers to that organization.
An account is created via email signup and identified by an API key. You are responsible for keeping your API key confidential and for all activity that occurs under it. If you believe a key has been compromised, rotate it immediately via account recovery or contact [email protected]. One email address may be associated with one account at a time; duplicate signups against an existing email are rejected.
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable
license to install and run the PROSENTRIQ agent on the number of hosts covered by your subscription tier,
for your own internal security monitoring and defense purposes. Full license terms governing the software
itself (restrictions on reverse engineering, redistribution, and reselling; ownership; the fact that
PROSENTRIQ is single-edition commercial software with no open-source tier) are set out in the software
license agreement distributed with the software (docs/LICENSE) and are incorporated into
these Terms by reference. Where the two conflict on a licensing question specifically, the software
license agreement controls; on account, billing, and service matters, these Terms control.
Trial mode is observation-only: the trial agent (prosentriq_observe.o) is compiled without
any code path capable of blocking, dropping, or redirecting traffic. It is free, has no enforced time
limit as of these Terms, and requires no payment method. We may change trial terms prospectively (see
Section 12); changes will not retroactively bill you for trial usage already completed.
Billing. Production (enforcement) mode is billed monthly, per host currently in production mode, at the rate shown on the Pricing page for your tier, or as set out in a separately signed Enterprise agreement. Invoices are generated at the start of each billing period for that period.
Adding/removing nodes. Moving a host into production mode adds it to your next
invoice; disabling enforcement on a host (prosentriq-ctl disable-enforcement) removes it from
future invoices starting the next billing period. Changes mid-period are not prorated unless your
Enterprise agreement says otherwise.
Cancellation. You may cancel at any time from your account, or by emailing [email protected]. Cancellation stops future billing; you keep production access through the end of the period already paid for. At the end of that period, affected hosts revert to trial (observation-only) mode automatically — nothing is uninstalled and no data is deleted as a result of cancellation alone.
Non-payment. A failed payment triggers a grace period (notice sent by email). If payment is not resolved within the grace period, the affected host(s) revert to trial mode until payment succeeds. We do not delete your account or data for non-payment alone.
Refunds. If, due to a fault on our side, production/enforcement mode never actually activated on a billed host during the period charged, that charge is refundable on request within 30 days of the charge. Outside of that circumstance, fees already charged for a billing period in progress are non-refundable, including on cancellation or downgrade mid-period. This section does not affect any statutory right to a refund you may have under consumer protection law in your jurisdiction that cannot be excluded by agreement.
We target 99.9% monthly uptime for the hosted Detection API at api.prosentriq.com, measured on
successful responses to the /v1/account/status endpoint, excluding scheduled maintenance
(notified at least 24 hours in advance where practicable) and events outside our reasonable control
(Section 10). This target does not apply to a self-hosted Detection API instance you run yourself, which
is your responsibility to operate. If we fail to meet this target in a calendar month on a paid account,
contact [email protected] with the affected period; verified
shortfalls are credited as a percentage of that month's fees at our discretion, as your sole and exclusive
remedy for an uptime shortfall. This uptime target does not apply to, and we make no availability
commitment regarding, the PROSENTRIQ agent's local enforcement loop, which is designed to keep running
independent of Detection API availability (see Section 7).
When you enable production mode, PROSENTRIQ is designed to autonomously block network traffic and take other defensive action against sources it scores as malicious, without a human approving each action. False positives can occur. You are responsible for:
whitelist.conf) for infrastructure that must
never be blocked;/var/log/prosentriq/enforcement_audit.log) and dashboard for
unexpected enforcement actions;By design, PROSENTRIQ fails open on a network interruption to the Detection API (see the Security & Compliance page) — enforcement continues on the last confirmed state rather than silently disabling. You acknowledge this behavior and that it may, in rare cases, mean enforcement continues briefly on stale account/tier information during an outage.
What we collect, how it's used, and your rights over it are set out in full in the Privacy Policy, which is part of these Terms. In summary: PROSENTRIQ transmits anonymized indicators (attacker IPs, cryptographic hashes of malicious payloads) to the Threat Hub to improve fleet-wide detection; it does not transmit file contents, kernel memory dumps, your proprietary code, or user traffic logs.
The Service is not designed, intended, or licensed for use in an environment requiring fail-safe performance where failure could lead directly to death, personal injury, or severe physical or environmental damage — including without limitation nuclear facilities, aircraft or air-traffic systems, weapons systems, or life-support systems. You agree not to use the Service in any such environment.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT OR PREVENT EVERY THREAT, OR THAT IT WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, INCLUDING DAMAGES ARISING FROM AUTOMATED ENFORCEMENT ACTIONS TAKEN BY THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
Either party may terminate for the other's material breach of these Terms not cured within 30 days of written notice. We may suspend or terminate an account immediately for non-payment beyond the grace period (Section 5), abuse of the Service, or violation of Section 9. On termination, your license to use the software (Section 3) ends; provisions that by their nature should survive (including Sections 6, 10, 12, and 13) do.
We may update these Terms from time to time. Material changes take effect 14 days after we post the update or notify you by email, whichever is later; continued use of the Service after that point is acceptance. We'll update the "Last updated" date above whenever these Terms change.
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, unless a separately negotiated Enterprise agreement states otherwise. (Placeholder: update this if ORTAL TECH is incorporated in a different jurisdiction — the rest of this document doesn't depend on this choice.) Courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
